Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of MenuPulse, including the Sage AI operations engine, all related software, APIs, and services (collectively, the "Service"), operated by MenuPulse ("we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

MenuPulse is a restaurant operations platform that provides AI-powered tools including daily briefings, menu costing, invoice processing, inventory management, staff scheduling, and sales forecasting. The Sage AI engine learns from your restaurant's data to deliver personalized, actionable intelligence.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.

3. Accounts and Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement to use the Service. Accounts are for businesses and their authorized representatives.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@menupulse.io if you suspect unauthorized access.

You may not share your account with or transfer it to another party without our written consent.

4. Subscriptions and Billing

Beta period. During the beta period, the Service is provided free of charge. We will notify you at least 30 days before any billing begins.

Paid plans. After the beta period, the Service is billed on a per-active-location, per-month basis. An "active location" is any restaurant location you have added to MenuPulse and are actively using. Pricing is displayed at menupulse.io/pricing.

Payment. Payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method on a recurring monthly basis. All fees are in USD and are non-refundable except as required by law or as explicitly stated in these Terms.

Cancellation. You may cancel your subscription at any time through the billing portal accessible from your account. Cancellation takes effect at the end of the current billing period; you retain access until then.

Unpaid balances. If payment fails, we will notify you and retry. If the balance remains unpaid after 10 days, we may suspend your access until payment is received.

Price changes. We will provide at least 30 days' notice of any price increases. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6. Your Data

You retain ownership of all data you upload to or create within the Service ("Your Data"), including restaurant information, invoices, menu data, and inventory records.

By using the Service, you grant us a limited license to store, process, and use Your Data solely to provide and improve the Service — including to train and improve the Sage AI engine in an aggregated, de-identified form. We do not sell Your Data to third parties.

You represent that you have the right to upload any data you provide to the Service and that doing so does not violate any third-party rights.

Upon account termination, you may request an export of Your Data within 30 days. After that period, we may delete Your Data in accordance with our data retention policies.

7. AI-Generated Content

The Sage AI engine generates operational briefings, recommendations, cost analyses, and forecasts based on your data. This output is provided for informational purposes only. You are solely responsible for all business decisions you make based on Sage's output.

AI-generated content may contain errors, inaccuracies, or outdated information. Do not rely on Sage's output as a substitute for professional financial, legal, or operational advice.

8. Intellectual Property

The Service, including the Sage AI engine, software, designs, trademarks, and all associated intellectual property, is owned by MenuPulse and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service as described herein.

Feedback, suggestions, or ideas you share with us about the Service may be used by us without restriction or compensation to you.

9. Third-Party Services

The Service integrates with or relies on third-party services including Supabase (database infrastructure), Stripe (payment processing), Anthropic (AI model powering Sage), and point-of-sale systems you connect. Your use of those services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. Restaurant operations data, forecasts, and AI-generated recommendations are provided for informational purposes and are not guaranteed to be accurate or suitable for your specific circumstances.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MENUPULSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless MenuPulse and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, Your Data, or your violation of these Terms.

13. Termination

You may terminate your account at any time by contacting us at hello@menupulse.io or through the billing portal.

We may suspend or terminate your account immediately if you violate these Terms, if required by law, or if your account poses a security risk. We will provide notice where feasible.

Upon termination, your right to use the Service ends immediately. Sections 6 (Your Data export rights), 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), and 12 (Indemnification) survive termination.

14. Changes to Terms

We may update these Terms from time to time. For material changes, we will notify you by email or a prominent in-app notice at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in Maricopa County, Arizona.

You waive any right to a jury trial or to participate in a class action lawsuit related to the Service.
